1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Astro Buddies website located at astrobuddies.com (the "Site") and any purchase you make from us. By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase from us.

"We," "us," and "our" refer to Astro Buddies, LLC, an Ohio limited liability company located at 1363 Meadowood Circle, Poland, OH 44514. "You" and "your" refer to the person using the Site or placing an order.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into binding contracts to place an order. By placing an order, you represent and warrant that you meet these requirements.

3. Account Information

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at astrobuddiesllc@gmail.com if you suspect unauthorized access.

4. Product Information, Pricing, and Availability

We make reasonable efforts to display accurate product descriptions, images, specifications, and prices on the Site. However, we do not warrant that descriptions, colors, dimensions, or other content are accurate, complete, reliable, current, or error-free. Prices and availability are subject to change without notice.

We reserve the right to limit quantities, refuse or cancel any order at our discretion (including after a confirmation email has been sent), and correct any pricing or product errors. If we cancel an order, we will issue a full refund.

5. Pre-Order Terms

The Astro 360 is currently sold on pre-order. By placing a pre-order, you acknowledge and agree to the following:

Your payment method will be charged at checkout, not at shipment.
Estimated shipping dates (currently June 30, 2026) are estimates only and are not guaranteed.
You may cancel your pre-order for a full refund at any time before shipment by emailing astrobuddiesllc@gmail.com.
If the estimated ship date slips by more than 30 days without your acceptance of a revised estimate, you have the right to cancel for a full refund under the FTC Mail Order Rule (16 CFR §435).
Pre-order pricing of $64.99 is locked in for the duration of the campaign but does not guarantee any specific delivery date.

6. Orders, Payment, and Taxes

All prices are listed in U.S. Dollars. You authorize us (or our payment processor) to charge your payment method for the total amount of your order, including any applicable taxes and shipping fees. You are responsible for any sales, use, or other taxes that apply to your order based on your shipping address.

7. Shipping and Returns

Shipping is governed by our Shipping Policy, and returns and refunds are governed by our Refund & Return Policy. Both are incorporated into these Terms by reference.

8. Limited Manufacturer Warranty

The Astro 360 is covered by a limited 1-year warranty against defects in materials and workmanship from the date of delivery. This warranty covers replacement or refund (at our option) of products that fail under normal use. This warranty does not cover damage from accidents, misuse, modifications, neglect, or normal wear and tear. To make a warranty claim, contact astrobuddiesllc@gmail.com with your order number and a description of the issue.

9. Disclaimer of Warranties

EXCEPT FOR THE EXPRESS LIMITED WARRANTY IN SECTION 8, THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ASTRO BUDDIES, LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCT IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Product Use, Safety, and Animal Supervision

The Astro 360 is a pet accessory intended to assist with walking dogs. You agree to use the product as directed in the included quick-start guide and to supervise your pets at all times when the leash is in use. We are not responsible for injuries to people, animals, or property arising from improper use, misuse, modification, or failure to supervise.

12. Indemnification

You agree to indemnify, defend, and hold harmless Astro Buddies, LLC and its officers, members, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site or any product, (b) your violation of these Terms, or (c) your violation of any rights of a third party.

13. Intellectual Property

All content on the Site — including text, graphics, logos, images, product designs, and software — is the property of Astro Buddies, LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written permission.

14. User Conduct

You agree not to use the Site to (a) violate any law, (b) infringe on the rights of others, (c) submit false or misleading information, (d) interfere with the security or functioning of the Site, or (e) collect or harvest personal information of other users.

15. Third-Party Links

The Site may contain links to third-party websites. We do not control or endorse those sites and are not responsible for their content or practices.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles. Subject to Section 17, any dispute will be brought exclusively in the state or federal courts located in Mahoning County, Ohio, and you consent to the personal jurisdiction of those courts.

17. Dispute Resolution and Arbitration

Please read this section carefully — it affects your legal rights.

Informal resolution. Before filing any claim, you agree to first contact us at astrobuddiesllc@gmail.com and attempt to resolve the dispute informally. We agree to do the same.

Binding arbitration. If we cannot resolve the dispute informally within 60 days, you and Astro Buddies agree that any dispute arising out of or related to these Terms, the Site, or any product will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be held in Mahoning County, Ohio, or by remote means if both parties agree. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

Class action waiver. YOU AND ASTRO BUDDIES AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions. Either party may bring (a) an action in small-claims court for claims within its jurisdiction or (b) an injunctive or equitable claim for misuse of intellectual property in court.

Opt-out. You may opt out of the arbitration and class action waiver provisions of this Section 17 by emailing astrobuddiesllc@gmail.com within 30 days of your first purchase, with the subject line "Arbitration Opt-Out" and including your name and order number.

18. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government actions, labor disputes, supply chain disruptions, manufacturing delays, shipping carrier delays, or utility or telecommunications failures.

19. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on the Site with a new "Last updated" date. Your continued use of the Site or placement of new orders after the changes constitutes your acceptance of the updated Terms.

20. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

21. No Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

22. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Refund & Return Policy, constitute the entire agreement between you and Astro Buddies regarding the Site and any purchase, and supersede all prior agreements and understandings.
